Applicant represents
that all of the above is true and thereby authorizes verification of
the above information, references, and credit records by World Energy
Solutions, Inc. In the event of default, applicant is held solely
responsible for all collection attempts, court cost and reasonable
attorney fees. Interest on overdue payments will be made payable at the
rate of 1.5% per month.

Agreement To Terms

In signing below, I certify to World Energy Solutions, Inc. (WES) that:

Credit Agreement:
Everything in this agreement is true and complete, and I am authorized
to fill out this agreement and sign below for the company shown. I
understand that WES may investigate my financial and the Company’s
financial statue further, and requests other documents or references
from us. Our not complying, or if anthing turns out to br untrue, is
ground for all credit to end immediately, and all account balances to
become immediately due and payable.

Security Interest: In
consideration of WES extending credit to the company and to secure
payment of all amounts the company may oew WES, the Company grants WES
a security interest in the merchandise purchased; wherever located: (a)
All merchandise sold to the company as described in each WES invoice
and packing list (b) all the company’s rights to payment for such
merchandise (c) all insurance proceeds on that merchandise. Upon WES’s
request I will immediately sign all documents relating to the making
and perfecting of this security interest on behalf of the Company, or
if I cannot or will not do so. WES’s officers are hereby irrevocable
designated and appointed as Company’s true and lawful attorney-in-fact
for the purpose of doing so.

Returned Checks: I
understand that if the Company’s check is returned by the bank, we will
be accessed $ 25.00 for each check returned. Until the Company wire
transfers the full amount due, or account will automatically be placed
on a cashiers check basis, (CCOD)

Attorney’s Fee’s: If
any amount due WES shall be collected through an attorney, we agree to
pay all attorney fees and court costs plus interest at a rate of 1.5% a
month of the outstanding balance due until fully paid.

I understand that these terms are accepted by the company by my submitting the Credit Application to WES.
